YOU SHOULD CAREFULLY READ THESE PROVIDER PORTAL TERMS OF USE (the “Terms”) BEFORE USING THE CORNERSTONERPM PROVIDER PORTAL (the “Portal”). The Portal, including all relevant content, software, products, and functionality, is collectively referred to as the “Services.”
BY CREATING A USER ACCOUNT AND USING THE SERVICES, YOU ARE CONSENTING TO BE BOUND BY THESE TERMS. If you do not agree to accept these Terms, do not log in to or use the Services. Any information that Cornerstone Remote Patient Monitoring (“CornerstoneRPM,” “We,” “Us,” or “Our”) collects through your use of the Services is subject to the Provider Portal Privacy Policy, which is incorporated into these Terms.
By continuing to use the Services, you agree as follows:
- You are at least 18 years old or have been legally emancipated;
- You understand and agree that these Terms are a legally binding agreement equivalent to a signed, written contract;
- You will use the Services in a manner consistent with applicable laws and regulations and these Terms, as amended by CornerstoneRPM from time to time; and
- You understand, accept, and have received these Terms and the Provider Portal Privacy Policy, and can access them at will.
If you do not agree with these Terms, discontinue use of the Services, do not log into the Portal, and delete all related files from your computer or mobile device.
ARBITRATION NOTICE: Except if you opt out (see “Dispute Resolution” below), you agree that disputes between you and CornerstoneRPM will be resolved by binding, individual arbitration, and you waive your right to participate in a class action lawsuit or class-wide arbitration. You may opt out of the arbitration agreement by contacting care@cornerstonerpm.com within 30 days of accepting these Terms.
WHAT ARE THE SERVICES?
The Portal is intended to provide a convenient platform for healthcare providers and clinical staff (“Provider Users”) and administrative personnel (“Administrators”)—collectively “Users”—to proactively track and analyze patients’ health conditions through data (e.g., blood pressure, weight, or other metrics) collected via remote monitoring devices, track time spent providing remote monitoring services, and communicate with patients about their health. The Services are not intended for continuous patient monitoring that would allow immediate clinical action in emergencies.
You may access and use the Services only in accordance with these Terms and all applicable laws, rules, and regulations, including our Provider Portal Privacy Policy. CornerstoneRPM acts solely as a technology platform enabling you to provide healthcare services and connect with patients. We do not supervise or direct your provision of healthcare services, nor do we warrant the suitability, reliability, timeliness, or accuracy of the medical services you provide, which are your responsibility.
WHAT DOES CORNERSTONERPM NOT PROVIDE?
We Are Not Medical Providers
The Services are not designed to replace or substantively impact your clinician-patient relationship or address serious, emergent, or life-threatening conditions. You are responsible for determining each patient’s care plan, modifying it as needed, and establishing monitoring parameters within your scope of practice. You are solely responsible for the accuracy and appropriateness of these parameters.
If CornerstoneRPM’s clinical staff provides patient monitoring as part of the Services, they will follow the parameters you establish under your general supervision. The treating physician retains sole responsibility for oversight, treatment decisions, and medical care. CornerstoneRPM is not liable for sub-standard treatment or medical malpractice related to any patient.
We Do Not Provide Insurance Billing Services or Guarantees
We provide a platform to track information that may support reimbursable services by federal or state health insurance payors and generate billing reports. However, we are not billing experts. Any billing information provided is for informational purposes only and does not guarantee reimbursement.
WHO IS ELIGIBLE TO USE THE SERVICES?
You must register for a user account (“User Account”) to access the Services. Registration begins when your designated Administrator enters your demographic information (e.g., name, email, contact details, role, and licensure information) into the Portal (“Registration Data”). You will receive an email inviting you to complete registration by creating a password. You may update your account via your User Account dashboard or by contacting care@cornerstonerpm.com. You may not register on behalf of another person unless legally authorized to bind them to these Terms.
By registering and using the Services, you represent and warrant that:
- You are at least 18 years old and legally qualified to form contracts;
- Your Registration Data is true, accurate, current, and complete, and you will update it as needed;
- You are authorized to create a User Account and view Portal information;
- You agree to the Provider Portal Privacy Policy; and
- You are not subject to U.S. government sanctions or restrictions.
Note: These Terms are void where prohibited by law. You are responsible for all data charges arising from your use of the Services.
Notification of Changes
Except for the Arbitration Agreement (see “Dispute Resolution”), we may modify these Terms at any time without prior notice. Material changes will be communicated by:
- Posting an updated version on the Portal; and/or
- Emailing the address in your Registration Data.
Continued use after notification binds you to the modified Terms. If you do not accept the changes, stop using the Services and delete all related files.
WHO OWNS THE SERVICES AND PERSONAL DATA?
Services Ownership and Use
CornerstoneRPM owns the Services, including all content and functionality. Subject to your compliance with these Terms, we grant you a non-exclusive, non-sublicensable, revocable, non-transferable license to use the Services via the Portal for personal, non-commercial use. You may not resell or sublicense access, or use our name, trademarks, or logos without written permission.
Personal Data Ownership and Use
You own your personal data (“Personal Data,” as defined in the Provider Portal Privacy Policy) and information submitted through the Services (“User Information”). If submitting data for others, you warrant you have permission. To provide the Services, you grant CornerstoneRPM a perpetual, non-exclusive, fully paid, transferable, sublicensable, worldwide license to use your User Information, subject to the Provider Portal Privacy Policy. You also allow us to de-identify and anonymize your data for any purpose, as outlined in the Privacy Policy.
WHAT ARE YOU NOT ALLOWED TO DO WITH THE SERVICES?
You may use the Services only for lawful purposes and in accordance with these Terms. You shall not:
- Provide false or misleading information;
- Use the Services for commercial purposes, third-party benefit, or in unauthorized ways;
- Impersonate anyone or interfere with the Services’ functionality;
- Harvest data or access unauthorized content;
- Violate laws or introduce malicious code;
- Post illegal, harmful, or infringing content;
- Modify or reverse-engineer the Services; or
- Attack the Portal via denial-of-service attacks.
We may monitor use to ensure compliance and reserve the right to suspend or terminate access without notice for violations.
HOW SHOULD YOU PROTECT YOUR LOGIN INFORMATION?
Your password (“User Credentials”) is your responsibility. You must:
- Keep it confidential;
- Not share it; and
- Notify us at care@cornerstonerpm.com of any unauthorized use.
We are not liable for losses from someone else using your credentials, with or without your knowledge. You may be liable for losses incurred by us due to such use.
HOW DOES CORNERSTONERPM PROTECT YOUR PRIVACY?
We value your privacy. See our Provider Portal Privacy Policy at https://www.cornerstonerpm.com/privacy for details on data collection, use, and your rights. By using the Services, you agree to its provisions. We may share your data with third parties as described therein, with your consent where required. We are not liable for third-party treatment of your data.
COMPUTER EQUIPMENT AND INTERNET ACCESS
You are responsible for all hardware, software, and internet access needed to use the Services, including security measures. We are not liable for issues arising from your systems or the internet. You assume all risks associated with using open networks like the internet.
OPTING OUT OF COMMUNICATIONS
We may send account-related emails, which you cannot opt out of. For marketing emails, you may opt out via options in the message, if you consented to receive them.
THIRD PARTIES AND THIRD-PARTY SITES
Third-Party Websites
The Services may link to external sites (“Third-Party Sites”). We are not responsible for their content, practices, or policies. Your use of them is governed by their rules, and we are not liable for related harm or damages.
Third-Party Services
Some features may involve third-party services (“Third-Party Services”). Additional terms may apply, and you must review and accept them. We are not responsible for data collected by third-party providers.
YOUR REPRESENTATIONS AND WARRANTIES
You warrant that your use of the Services complies with these Terms, applicable laws, and our policies, and that you are authorized to share personal data with us.
WARRANTY DISCLAIMERS AND LIMITATION OF LIABILITY
No Warranties
The Services are provided “as is” without warranties, express or implied, including merchantability, fitness for a purpose, or non-infringement. We do not guarantee uninterrupted, secure, or error-free access, or the accuracy of content. You are responsible for your interactions with others, and we do not assume responsibility for data loss or service interruptions. Features may vary by user, and we may modify access without notice (except for fee-based services, with 14 days’ notice).
Your Responsibility for Loss or Damage
Your use of the Services is at your sole risk. We are not liable for damages to your devices or data from using the Services.
Limitation of Liability
To the maximum extent permitted by law, CornerstoneRPM is not liable for incidental, special, or consequential damages (e.g., lost profits, data loss, or injury) arising from your use of the Services, even if informed of the possibility. Your sole remedy is to stop using the Services. We are not liable for your negligence or misconduct. In states where liability limits are restricted, our liability shall not exceed $100.00. Claims must be brought within one (1) year of the event.
INDEMNIFICATION
You agree to indemnify and hold CornerstoneRPM harmless from claims, losses, or expenses (including attorneys’ fees) arising from your use of the Services, violation of these Terms, or negligent conduct. If a California resident, you waive California Civil Code Section 1542.
PROVIDING FEEDBACK
Feedback sent to care@cornerstonerpm.com grants us a royalty-free, worldwide license to use it for any purpose.
USER ACCOUNT TERMINATION
We may terminate your access for breaches or other reasons without notice. To terminate your account, contact care@cornerstonerpm.com and delete all Service files.
DISPUTE RESOLUTION
Informal Dispute Resolution
Before formal action, contact care@cornerstonerpm.com to resolve disputes informally.
Arbitration Agreement
Unresolved disputes will be settled by binding arbitration through the American Health Lawyers Association (AHLA) with three arbitrators (one chosen by each party, the third by mutual consent or the first two). Arbitration may be remote, and awards are enforceable in court. Claims must be initiated within one (1) year. Costs are split 50/50.
Exceptions
We may seek injunctive relief for unauthorized use or IP infringement without informal resolution.
Opt-Out
Opt out within 30 days of accepting these Terms by emailing care@cornerstonerpm.com. Without opting out, you waive jury trial rights. If opting out, disputes are subject to Delaware courts within 25 miles of Kent County.
GENERAL CONTRACT TERMS
- Entire Agreement: These Terms, the Provider Portal Privacy Policy, and incorporated terms are the full agreement.
- Governing Law: Delaware law applies.
- Assignment: You may not assign these Terms without our consent; we may assign them freely.
- Notices: We notify you via email or postings; you notify us at care@cornerstonerpm.com.
- No Waiver: Failure to enforce a provision is not a waiver.
- Severability: Invalid provisions are reformed or severed, preserving the rest.
- Intellectual Property: We retain all rights in the Services.
